SUBJECT: A Resolution Authorizing and Approving an Amendment to the Certificate of Formation of Houston Recovery Center LGC
RECOMMENDATION: (Summary) Approve the Resolution authorizing the amendment of the Houston Recovery Center LGC to expand its Board of Directors
SPECIFIC EXPLANATION:
City Council created of the Houston Recovery Center LGC to manage and operate the Sobering Center by Resolution 2012-14. At the formation, the City authorized a board of five members and required the board to comply with the Texas Open Meetings Act. (Tx. Govt. Code 551.001 et seq.) The board believes it can operate more efficiently and effectively by establishing sub committees of the board and needs to expand the board to effectuate that goal. Currently, only two board members may meet outside a fully noticed board meeting. Board expansion would allow more members to participate in committee meetings to plan and discuss management and operations of the sobering center and the LGC. To expand the board, the Certificate of Formation needs to be amended.
In Section 6 of Resolution 2012-14 and Article XIV of the Certificate of Formation City Council required the Board to obtain approval of the City Council to amend its governing documents. At a regularly scheduled board meeting held on August 6, 2015, the Board voted unanimously to expand the Board size to at least five, no more than nine members and now asks City Council to approve Amendments to the Certificate of Formation to accomplish this increase.
